Safeguarding PHI. CONTRACTOR agrees to use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this BAA or as required by State or Federal law, regulation, or rule.

Safeguarding PHI. Contractor agrees to use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this BAA or as required by State or Federal law, regulation, or rule.
Safeguarding PHI. The Business Associate shall develop, implement, maintain and use appropriate administrative, technical and physical safeguards to prevent the improper use or disclosure of any PHI received from or on behalf of the Covered Entity for any purpose other than those expressly permitted under the Agreement.
Safeguarding PHI. The Business Associate shall develop, implement, maintain and use appropriate administrative, technical and physical safeguards to prevent the improper use or disclosure of any PHI that is created, received, maintained or transmitted on behalf of the Covered Entity for any purpose other than those expressly permitted under the Agreement. Business Associate agrees to comply with Subpart C of 45 C.F.R. Part 164 with respect to Electronic Protected Health Information. Business Associate must secure all Electronic Protected Health Information by technological means that render such information unusable, unreadable, or indecipherable to unauthorized individuals. Destruction of Protected Health Information on paper, film or other hard copy media must involve either shredding or otherwise destroying the PHI so that it cannot be read or reconstructed. Should any employee or subcontractor of Business Associate have direct, authorized access to computer systems of Covered Entity that contain PHI, Business Associate shall immediately notify Covered Entity of any change of such personal in order for Covered Entity to disable the previously authorized access.

Safeguarding PHI. Business Associate shall comply with the HIPAA Security Rule with respect to EPHI. Business Associate agrees that it will use appropriate safeguards to prevent the use or disclosure of PHI in a manner contrary to the terms and conditions of this Agreement and will implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity and availability of EPHI that Business Associate creates, receives, maintains, or transmits on behalf of Covered Entity. Such safeguards shall include, but not be limited to those required by applicable law, including, but not limited to, the Privacy and Security Rule. Business Associate shall ensure that: only those employees and agents of Business Associate that have a business need to know PHI are provided with access to it; access is limited to the minimum amount necessary to accomplish the intended purpose of the access; all employees and agents of Business Associate handling PHI are educated on how to maintain its confidentiality and the requirements of this Agreement; and all PHI is stored and transmitted in a secure environment and in a manner that prevents its inadvertent disclosure.
Safeguarding PHI. The business associate agreement shall require the business associate to safeguard the PHI in accordance with the requirements of the HIPAA Privacy Standards at 45 C.F.R. § 164.504(e)(1). See Business Associate Agreement for standard business associate agreement provisions.

Safeguarding PHI. Business Associate shall use appropriate safeguards to prevent the use or disclosure of PHI other than as permitted by this Addendum. Business Associate further agrees to use appropriate administrative, physical and technical safeguards to protect the confidentiality, integrity and availability of any PHI that Business Associate creates, receives, maintains, or transmits on behalf of Covered Entity, in accordance with the HIPAA Rules. More specifically, to comply with the HIPAA Security Standards for PHI, Business Associate agrees that it shall: (i) Develop and implement policies and procedures that meet the HIPAA Rules; (ii) As also provided for in Section 3.5 below, ensure that any agent, including a subcontractor, to whom it provides such PHI agrees to implement reasonable and appropriate safeguards to protect it; (iii) Report to Covered Entity, any Security Incidents or Breaches of Security of which Business Associate becomes aware that result in the unauthorized access, use, disclosure, modification, or destruction of Covered Entity’s PHI (hereinafter referred to as “Successful Security Incidents”). Business Associate shall report Successful Security Incidents to Covered Entity as specified in Section 3.4.3, and upon Covered Entity’s request, shall provide access to and copies of documentation regarding Business Associate’s safeguards for PHI; and (iv) Encrypt all PHI stored on laptops or other personal devices, Encrypt all transmitted records and files containing PHI that will travel across public networks, and Encrypt all PHI to be transmitted wirelessly.
