RMS Clause Samples
The RMS (Records Management System) clause defines the requirements and procedures for managing, storing, and maintaining records related to the agreement. For example, it may require both parties to keep accurate transaction logs or compliance documents for a specified number of years. RMS. Saanich shall make available a hosted, fully supported RMS system which includes the following elements or components and subject to the following conditions or limitations:
(a) automatic CAD data transfer;
(b) access to all configured modules, which shall, at the minimum, include “incidents,” “properties” and “personnel”;
(c) access to basic data reports (the creation or customization of data reports are subject to an additional charge);
(d) OAK BAY is responsible for the transfer or import of data from other existing RMS systems or other databases;
(e) configuration changes are subject to a change management process with E-Comm under the Technology Services Agreement, and must be agreed upon by the E- Comm Project Fire User Group Committee and or the Fire Technology Management Committee; and
(f) OAK BAY will be provided with one (1) license, each permitting a separate access point, to the RMS. Additional licenses will be provided at actual cost to Saanich under the Technology Services Agreement and will be billed in accordance with Schedule “C,” Section “3 (e)”.
RMS. Each party shall take every reasonable precaution, but no less than those precautions used to protect its own Confidential Information, to prevent the theft, disclosure, and the unauthorized copying, reproduction or distribution of the Confidential Information.

6. Saanich shall make available the following training services (“Training Services”) to OAK BAY:
(a) as part of the Base Services, Saanich shall make available a qualified trainer who will be available to OAK BAY for up to eight hours annually (subject to mutually agreeable scheduling), to assist OAK BAY in training its staff in the proper use of CAD, RMS and other Services provided by Saanich; and
(b) provide or make available periodic guidance and update materials related to the operation of the Services (e.g., materials explaining changes arising from CAD or RMS upgrades). Training Services in excess of those contemplated by this section 6 of Schedule A shall constitute “Additional Services”.
7. As part of the Base Services, Saanich will provide the technical support services (“Technical Support Services”) to OAK BAY as and to the extent specified in Schedule D. Saanich’s ability to provide such support may be dependent on external, third parties, including E-Comm, and Saanich is not liable for any failure of such third party to address a support request in a timely fashion.
8. Saanich shall, as part of the Base Services, provide periodic reporting to OAK BAY, as specified in section 6.2 of the Agreement.
