Common use of Rightsholders Clause in Contracts

Rightsholders. The term “Rightsholders” shall include the Payee, all successors and assigns of the Payee and all transferees of Registerable Securities where such transfer affirmatively includes the transfer and assignment of the rights of the Payee under this Note with respect to the transferred Registerable Securities and such transferee agrees in writing to assume all of the Payee’s agreements, obligations and liabilities under this Note.

Rightsholders. The term “"Rightsholders” " shall include the PayeeStockholders, all successors and assigns of the Payee Stockholders, and all transferees of Registerable Securities where such transfer affirmatively includes the transfer and assignment of the rights and obligations of the Payee transferor Rightsholder under this Note Agreement with respect to the transferred Registerable Securities and such transferee agrees in writing to assume all of the Payee’s agreements, obligations and liabilities under this NoteSecurities.

Rightsholders. The term “"Rightsholders” " shall include the PayeeStockholders, all successors and assigns of the Payee Stockholders, and all transferees of Registerable Securities where such transfer is accordance with law and affirmatively includes the transfer and assignment of the rights and obligations of the Payee transferor Rightsholder under this Note Agreement with respect to the transferred Registerable Securities and such transferee agrees in writing to assume all of the Payee’s agreements, obligations and liabilities under this NoteSecurities.

The term “RightsholdersRightsholder” shall include the PayeeWarrantholder, all successors and assigns of the Payee Warrantholder and all transferees of Registerable Registrable Securities where such transfer affirmatively includes the transfer and assignment of the rights of the Payee Warrantholder under this Note Warrant with respect to the transferred Registerable Registrable Securities and such transferee agrees in writing to assume all of the PayeeWarrantholder’s agreements, obligations and liabilities under this NoteWarrant.

Rightsholders. The term “"Rightsholders” " shall include the PayeeShareholders, all successors and assigns of the Payee Shareholders and all transferees of Registerable Securities where such transfer affirmatively includes the transfer and assignment of the rights of the Payee transferor-Rightsholder under this Note Agreement with respect to the transferred Registerable Securities and such transferee agrees in writing to assume all of the Payee’s transferor-Rightsholder's agreements, obligations and liabilities under this NoteArticle 6 with respect to the transferred Registerable Securities.

The term “RightsholdersRightsholder” shall include the Payeeundersigned, all successors and assigns of the Payee undersigned, and all transferees of Registerable Securities where such transfer affirmatively includes the transfer and assignment of the rights of the Payee transferor-Rightsholder under this Note Subscription Agreement with respect to the transferred Registerable Securities and such transferee agrees in writing to assume Securities; provided, however, the term “Rightsholders” shall not include any person or entity after the person or entity has sold, transferred or assigned all of the Payeeperson’s agreements, obligations and liabilities under this Note.or entity’s Registerable Securities; and
