Common use of Rights to Grant Clause in Contracts

Rights to Grant. Cipher represents and warrants that it has the sole, exclusive and unencumbered right to grant the rights (including any license) herein granted to Distributor, and that neither Cipher, nor to Cipher’s knowledge, any other Person has granted any option, license, right or interest in or to the Product to any Third Party which could conflict with the rights granted by it under this Agreement in the Territory.
