Rights of First Refusal and Co Sale Rights. No Restricted Shareholder (as defined below) shall directly or indirectly transfer, mortgage, pledge or otherwise dispose of or encumber or grant a security interest, lien, charge, privilege or similar right in or on any of the Shares except and in accordance with the provisions herein contained.
