Common use of Right to Transfer Upon Release Clause in Contracts

Right to Transfer Upon Release. Depositor hereby grants to Escrow Agent a ------------------------------ non-exclusive, non-transferable, perpetual and royalty-free license to sublicense the Deposit Materials to Preferred Beneficiary upon any release of the Deposit Materials for use by Preferred Beneficiary in accordance with Section 4.5. Except upon such a release or as otherwise provided in this Agreement, Escrow Agent will not sublicense or otherwise transfer the Deposit Materials or permit Preferred Beneficiary to make use of the Deposit Materials. It is expressly understood and agreed that Escrow Agent is not authorized to enter into any sublicense or similar agreement with Preferred Beneficiary that alters the terms of this Section 3.3. In case of any conflict between the provisions of this Section 3.3 (or Section 4.5) and the provisions of the Procurement Agreement relating to the scope of the Preferred Beneficiary's license upon release from escrow, the provisions of the Procurement Agreement will control.
