Common use of Right of Deferral of Registration Clause in Contracts

Right of Deferral of Registration. If the Company shall furnish to all such Holders who joined in the request a certificate signed by the President of the Company stating that, in the good faith business judgment of the Board of Directors of the Company, it would be commercially unreasonable for the Company for any Registration to be effected as requested under this Section 2, the Company shall have the right, exercisable once with respect to each demand for Registration, to defer the filing of the Registration Statement with respect to such offering for a period of not more than 150 days from delivery of the request of the Initiating Holders.

If the Company shall furnish to all such Holders who joined in the request a certificate signed by the President Chief Executive Officer of the Company stating that, in the good faith business judgment of the Board of Directors of the Company, it would be commercially unreasonable for seriously detrimental to the Company for any Registration to be effected as requested under this Section 24.1, the Company shall have the right, exercisable once one (1) time only with respect to each demand for Registrationregistration request, to defer the filing of the a Registration Statement with respect to such offering for a period of not more than 150 one hundred twenty (120) days from delivery of the request of the Initiating Holders.
