Common use of RFP and Proposal Incorporated by Reference Clause in Contracts

RFP and Proposal Incorporated by Reference. The Request for Proposal (RFP) dated [insert date] and the proposal submitted by the CONTRACTOR in response to the RFP (the "Proposal"), including any amendments or modifications thereto, are hereby incorporated into and made a part of this Contract by reference. The terms and conditions of the RFP and Proposal, including any exhibits or attachments, shall govern the performance of the work and obligations of the parties under this Contract to the extent they do not conflict with the terms of this Contract. In the event of any conflict between this Contract, the RFP, and the Proposal, the terms of this Contract shall govern first, followed by the RFP, and lastly the Proposal, with each document governing only to the extent it does not conflict with the terms of the document above it in this order of precedence.
