Revision of Recital. The revised Recital D is as follows: “D In consideration of the terms and conditions as agreed between the parties, SCSB is desirous to sell and the Company is desirous to purchase the Land on an “as is where is” basis free from all encumbrances and with vacant possession, and the parties have agreed to enter into a sale and purchase agreement for the disposal of Land subject to and upon the terms and conditions contained therein (“Sale and Purchase Agreement”).”
