Common use of Return and Destruction Clause in Contracts

Return and Destruction. Upon termination or expiration of this Agreement, or at any time with respect to particular Confidential Information not required by a Party to perform its obligations or receive its benefits under this Agreement, upon request by the other Party, such Party shall (a) return to such other Party all Confidential Information and all copies thereof that are in such Party’s possession or control, and (b) delete from its computers, databases, and servers any electronic copies of all such Confidential Information.

Upon termination or expiration of this Agreement, or at any time with respect to particular Confidential Information not required by a the Receiving Party to perform its obligations or receive its benefits under this Agreementwill, upon request by written request, promptly destroy or return the other Disclosing Party, such Party shall (a) return to such other Party all ’s Confidential Information and all copies thereof thereof, provided that are the Receiving Party shall not be obligated to erase Confidential Information contained in archived computer system backups in accordance with its security and/or disaster recovery procedures, provided further that any such Party’s possession or control, and (b) delete from its computers, databases, and servers any electronic copies retained Confidential Information shall continue to be protected by the confidentiality obligations of all such Confidential Informationthis Agreement.
