Common use of Retirement, Voluntary Separation, or Termination for Cause Clause in Contracts

Retirement, Voluntary Separation, or Termination for Cause. If the Participant retires, quits, or otherwise separates from employment under circumstances not described in subparagraphs (b) through (d), below, or is terminated for Cause, all then-unvested RSUs shall be canceled immediately, and shall not be payable, except to the extent the Committee decides otherwise. For purposes of this Agreement, "Cause" is defined as (i) grossly incompetent performance or substantial or continuing inattention to or neglect of the duties and responsibilities assigned to the Participant; fraud, misappropriation or embezzlement involving the Company or a material breach of any provision incorporated in paragraph 15 ("Covenants") of the employment agreement to which this Agreement is an exhibit, as determined by the CEO(s) in his/their discretion, or (ii) commission of any felony of which the Participant is finally adjudged guilty by a court of competent jurisdiction.
