Retail Program Covenants. As long as the Bank shall own any Contract purchased from the Dealer under the terms of this Agreement, the Dealer will: a. Take any action that is necessary or that the Bank may request to evidence and perfect the Bank's interest in each Contract purchased by the Bank under the terms of this Agreement, the Contract Vehicle related to that Contract and all proceeds of the foregoing. b. Comply with the Dealer's record retention obligations under the Equal Credit Opportunity Act and any other federal or state law with respect to Contracts, Credit Applications, and their related documents. c. Neither take or omit to take any action, in respect of any obligation of the Dealer under any Contract, which may give the Customer with respect to any Contract, any defense, offset or counterclaim as to the enforcement of that Contract. d. Neither repossess nor accept redelivery of a Contract Vehicle related to a Contract purchased by the Bank under the terms of this Agreement, without the prior written consent of the Bank.
