Restructuring Support Agreement. This RESTRUCTURING SUPPORT AGREEMENT (including all exhibits, annexes, and schedules hereto in accordance with Section 2 and as may be amended, supplemented, or otherwise modified from time to time in accordance with Section 14, this “Agreement”) is made and entered into as of May 30, 2023 (the “Execution Date”), by and among the following parties, as applicable (each of the following described in sub-clauses (i) through (viii) of this preamble, collectively, the “Parties”):1
