Enter into any agreement (a) other than the Lender Agreements which, directly or indirectly, prohibits or restrains, or has the effect of prohibiting or restraining or otherwise imposes any materially adverse or burdensome condition upon, the declaration or payment of dividends or distributions, the incurrence of Indebtedness, the granting of liens, the making of loans or advances to Borrower or the amendment or modification of any of the Lender Agreements or (b) containing any provision that would be violated or breached by any Loan or the performance by Borrower of its obligations hereunder or under any of the Lender Agreements.
