Common use of Restrictive Documents Clause in Contracts

Restrictive Documents. Neither of the Companies nor the Seller is subject to, or a party to, any charter, by-law, mortgage, lien, lease, license, permit, agreement, contract, instrument, law, rule, ordinance, regulation, order, judgment or decree, or any other restriction of any kind, which adversely affects the business practices, operations or condition of the Companies or any of their respective assets or property, or which would prevent consummation of the transactions contemplated by this Agreement, compliance by the Seller with the terms, conditions and provisions hereof, or the continued operation of the Companies' respective businesses after the date hereof or the Closing Date on substantially the same basis as heretofore operated or which would restrict the ability of either of the Companies to acquire any property or conduct business in any area.

Neither To the knowledge of the Companies Company, neither the Company nor the Seller any Subsidiary is subject to, or a party to, any charter, by-law, mortgage, lien, lease, license, permit, agreement, contract, instrument, law, rule, ordinance, regulation, order, judgment or decree, or any other restriction of any kind, which materially and adversely affects the business practices, operations or condition of the Companies Company, any Subsidiary, or any of their respective assets or property, or which would prevent consummation of the transactions contemplated by this Agreement, compliance by the Seller with the terms, conditions and provisions hereof, Agreement or the continued operation of the Companies' its respective businesses business after the date hereof or the Closing Date on substantially the same basis as heretofore operated or which would restrict the its ability of either of the Companies to acquire any property or conduct business in any area.
