Restrictions on Voting. During the Term of this Agreement, the ▇▇▇▇▇ Street Group agrees that all of the Voting Stock Beneficially Owned by the ▇▇▇▇▇ Street Group in excess of 14.99% of the Voting Stock then outstanding shall be voted by the ▇▇▇▇▇ Street Group either (i) in proportion to the votes cast by all holders of Voting Stock other than the ▇▇▇▇▇ Street Group or (ii) in accordance with the recommendation of the Board. At the Company’s request, the ▇▇▇▇▇ Street Group shall provide the Company with evidence of the ▇▇▇▇▇ Street Group’s compliance with this Section 4(a).
