CERTIFICATE OF THE GLOBALNET SHAREHOLDERS CONCERNING THE TRANSACTION. Prior to Closing, Globalnet shall obtain, in writing, a Certificate from each Globalnet Shareholder to the effect that all of the following representations and warranties in this Section 5 are true and correct as of the date of this Agreement and as of the date of Closing. Such Certificate shall be delivered to Host and HAC at Closing. For the avoidance of doubt, Host and HAC acknowledge that except for the representations and warranties made in the Certificate referenced in this paragraph, the Globalnet Shareholders make no other representations and warranties regarding any matter in this Agreement (including any schedule or exhibit thereto).
