Restrictions on Voting Securities. For the Term of this Agreement, the Sacane Group agrees that any and all of the Voting Securities beneficially owned by the Sacane Group that represent more than 20% of the Company's outstanding Voting Securities shall be voted by the Sacane Group in proportion to the vote(s) cast by all of the other stockholders of the Company who beneficially own Voting Securities other than the Sacane Group.
Restrictions on Voting Securities. For the Term of this Agreement, the IPOF Group agrees that any and all of the Voting Securities beneficially owned by the IPOF Group that represent more than 15% of the Company’s outstanding Voting Securities shall be voted by the IPOF Group in proportion to the vote(s) cast by all of the other shareholders of the Company who beneficially own Voting Securities other than the IPOF Group.
