Restrictions on Repayment. Except as provided under Sections 3(b) and (c) and Section 4, the Lender shall not be entitled to repayment, satisfaction of extinguishment in any manner of the Loan or any amount outstanding from time to time including, without limitation, by set- off, netting of any kind, reduction or compromise of debts, consolidation of accounts or similar basis, arising by agreement, by law or otherwise, which would be contrary to the intent of this Master Agreement and the SRO Rules that, except as provided herein, the Lender is to assume the financial risk associated with the portion of a New Issue funded by a Loan. Any payment or benefit received by the Lender contrary to this Section or Section 4 shall be held in trust for the Member and repaid or credited to it.

  • Restrictions on Redemption The Company may not redeem any Notes on any date if the principal amount of the Notes has been accelerated in accordance with the terms of this Indenture, and such acceleration has not been rescinded, on or prior to the Redemption Date (except in the case of an acceleration resulting from a Default by the Company in the payment of the Redemption Price with respect to such Notes).
