Restrictions on employment. 4.1 The Executive represents and warrants to the Corporation that the Executive does not owe and shall not, during the Executive’s employment with the Corporation, undertake or agree to, any contractual or other duties or obligations to any other person or entity which may conflict or interfere with this Agreement or any of the Executive’s duties and obligations under this Agreement, or which may prevent the Executive from entering into this Agreement or performing any of the Executive’s duties and obligations under this Agreement. The Executive represents and warrants that the Executive shall not use in the performance of the Executive’s duties for the Corporation any documents or materials or intangibles of a former employer or third party that are not generally available to the public or have not been legally transferred to the Corporation.
