Restricted Notes Legend. Upon the transfer, exchange or replacement of Notes not bearing the Restricted Notes Legend, the Registrar shall deliver Notes that do not bear the Restricted Notes Legend. Upon the transfer, exchange or replacement of Restricted Notes, the Registrar shall deliver only Restricted Notes that bear the Restricted Notes Legend unless the Restricted Notes Legend is no longer required by Section 2.08(e), or the Company determines and there is delivered to the Trustee an Opinion of Counsel reasonably satisfactory to the Trustee and a letter of representation of the Company reasonably satisfactory to the Trustee to the effect that neither such legend nor the related restrictions on transfer are required or appropriate in order to ensure that subsequent transfers of the Notes are effected in compliance with the Securities Act.

Upon the transfer, exchange or replacement of Notes bearing the Restricted NotesNotes Legend, the Registrar shall deliver only Restricted Notes that bear the Restricted Notes Legend unless either (i) the Restricted Notes Legend is no longer required circumstances contemplated by Section 2.08(eparagraph (a)(i)(x), (b)(i)(x) or the Company determines and (c)(i)(x) of this Section exist or (ii) there is delivered to the Trustee Registrar an Opinion of Counsel reasonably satisfactory to the Trustee Company and a letter of representation of the Company reasonably satisfactory to the Trustee to the effect that neither such legend nor the related restrictions on transfer are required or appropriate in order to ensure that subsequent transfers of the Notes are effected in maintain compliance with the provisions of the Securities Act.

Upon the transfer, exchange or replacement of Notes bearing a Restricted NotesNotes Legend prior to the Resale Restriction Termination Date, the Registrar shall deliver only Restricted Notes that bear the a Restricted Notes Legend unless the Restricted Notes Legend (i) an Initial Note is no longer required by Section 2.08(e), being transferred pursuant to an effective registration statement or the Company determines and (ii) there is delivered to the Trustee Registrar an Opinion of Counsel reasonably satisfactory to the Trustee Company and a letter of representation of the Company reasonably satisfactory to the Trustee to the effect that neither such legend nor the related restrictions on transfer are required or appropriate in order to ensure that subsequent transfers of the Notes are effected in maintain compliance with the provisions of the Securities Act. Any Additional Notes sold in a registered offering shall not be required to bear the Restricted Notes Legend.
