Common use of Responsibility of Dual Directors, Officers and/or Employees Clause in Contracts

Responsibility of Dual Directors, Officers and/or Employees. If any person who is a manager, partner, officer or employee of the Adviser or its affiliates is or becomes a director, officer and/or employee of the Fund and acts as such in any business of the Fund, then such manager, partner, officer and/or employee of the Adviser or its affiliates shall be deemed to be acting in such capacity solely for the Fund, and not as a manager, partner, officer or employee of the Adviser or its affiliates or under the control or direction of the Adviser, even if paid by the Adviser or an affiliate thereof.

Responsibility of Dual Directors, Officers and/or Employees. If any person who is a member, manager, partner, officer or employee of the Adviser or any of its affiliates Affiliates is or becomes a director, officer and/or employee of the Fund and acts as such in any business of the Fund, then such member, manager, partner, officer and/or employee of the Adviser or its affiliates such Affiliate shall be deemed to be acting in such capacity solely for the Fund, and not as a member, manager, partner, officer or employee of the Adviser or its affiliates such Affiliate or under the control or direction of the AdviserAdviser or the such Affiliate, even if paid by the Adviser or an affiliate thereofsuch Affiliate. 10.

If any person who is a manager, partner, officer or employee of the Adviser Manager or its affiliates is or becomes a director, officer officer, partner and/or employee of the Fund Trust and acts as such in any business of the FundTrust, then such manager, partner, officer and/or employee of the Adviser Manager or its affiliates shall be deemed to be acting in such capacity solely for the FundTrust, and not as a manager, partner, officer or employee of the Adviser Manager or its affiliates or under the control or direction of the AdviserManager, even if paid by the Adviser Manager or an affiliate thereof.
