Provider shall, throughout the Term, make available such resources, including Provider personnel, as are reasonably required to: (a) train designated employee(s) of the State in the use of the Application; (b) support the obligations of the State provided in Section 4; (c) develop modifications to the Application as agreed to by the Parties in any Exhibit hereto; and (d) otherwise support the Application as provided under this Agreement and any Attachments or Exhibits hereto. Provider shall also make available to the State technical support for the Application within 1 Business Day of receiving inquiries by electronic mail or telephone and respond to problems or issues in accordance with the service levels and warranties set forth in this Agreement and exhibits. In addition, Provider shall provide the State with the name and contact information for key programmers who are familiar with the Source Code for the Application, and shall make such programmers available for transition purposes if the State terminates this Agreement for cause.

Parent has prepared in good faith an estimated, non-binding timeline for commercialization of the first Product attached hereto as Exhibit A but neither Parent nor the Acquired Corporation make any representations, warranties or covenants regarding the accuracy of such timeline and each Seller acknowledges and agrees that such timeline is subject to significant uncertainties and that commercialization could take significantly longer than presented in such timeline or may not occur at all.

The provision of legal counsel and availability is a support so that the staff can perform their duties. • Supports staff in their “best interest of child” decisions. Administration makes times to meet with ICWA staff from working stage of case-to-case completion. Honoring and incorporation of traditional values so that children do not face re-traumatization. • Tribe support program staff by ensuring that cost of service delivery and staff compensation is included in the discussions related to funding allocation within the tribe’s budgetary process and discussions. Tribe supports ICWA efforts and ensures that staff are up to date in their training related to this. Tribal leadership available for case update. Defends in council as needed. • Meeting with staff to collaborate on cases. Important for all to become more aware of ICWA and its’ implications as a result of decisions made. • Tribe supports the ICWA and the staff. Recognizes that ongoing training is important. Want their staff to make good decisions that are well-informed. Tribal Council is also very supportive. Aware that children have deep seated wounds and Tribe wants to ensure that this cycle of harm does not continue. • Tribal leadership recognizes that the staff works hard to ensure that their tribal children are safe. Xxxxxx leadership makes sure that staff engages in self care and acknowledges the work that they do for the sake of children and families in the Pueblo. • Former tribal leadership placed trust in the child welfare staff to fulfill their duties and tribal leadership supported these efforts.
