Resignation, Removal and Replacement of Board Members; Transfers of Appointment Rights. (a) Any Board Member may resign from office at any time by giving written notice to Company. The resignation of any Board Member shall take effect upon Company’s receipt of such notice or at such later time as shall be specified in the notice. Unless otherwise specified in the notice, the acceptance of the resignation shall not be necessary to make the resignation effective.
