Resignation of Rights Agent. BankBoston hereby resigns as Rights Agent under the Rights Agreement, effective as of February 28, 2002, and the Company hereby accepts such resignation.

The Company hereby terminates Xxxxxx as Rights Agent under the Rights Agreement, effective as of May 30, 2001 and Xxxxxx hereby accepts such termination and waives any notice required to be given upon such termination to Xxxxxx as Rights Agent and as transfer agent under the Rights Agreement.
