Resignation from Employment by the Executive for Good Reason. Termination by the Company without Due Cause under Subsection 4(d) shall be deemed to have occurred if the Executive elects to resign from employment for Good Reason.

Resignation from Employment by the Executive for Good Reason. The Executive may elect to terminate the Executive’s employment for Good Reason. In order to be considered a resignation for Good Reason for purposes of this Agreement, the Executive must provide the Company with written notice and description of the existence of the Good Reason condition within sixty (60) days of the initial discovery by the Executive of the existence of said Good Reason condition and the Company shall have thirty (30) business days to cure such Good Reason condition. In the event the Executive terminates his or her employment for Good Reason, Executive will receive the same benefits as if Executive was terminated without Due Cause under Section 4(d).
