RESIGNATION FROM BOARDS OF DIRECTORS. If Executive is a director of the Company or any of its affiliates and his employment is terminated for any reason, Executive shall, if requested by the Company, immediately resign as a director of the Company and/or any affiliate and any committees of such boards of directors. If such resignation is not received within ten (10) business days after Executive receives written notice from the Company requesting the resignations, Executive shall forfeit any right to receive any payments pursuant to this Agreement.

RESIGNATION FROM BOARDS OF DIRECTORS. If Executive is a director of the Company or any of its affiliates and his employment is terminated for any reasonreason other than death, the Executive shallwill, if requested by the Company, immediately resign as a director of the Company and/or any affiliate and any committees of such boards of directorsits subsidiaries. If such resignation is not received within ten (10) 20 business days after the Executive actually receives written notice from the Company requesting the resignations, the Executive shall will forfeit any right to receive any payments pursuant to this Agreement.
