Common use of Research Support Clause in Contracts

Research Support. (a) During the Program Term, JT shall provide Gene Logic with financial support for the Research Program for Gene Logic's Scientific FTEs (as documented to the reasonable satisfaction of JT) at a rate of [***] per Scientific FTE. The FTE payment rate payable pursuant to this Section 7.2(a) shall be adjusted annually in proportion to the percentage increase or decrease in the U.S. Consumer Price Index, unless otherwise agreed upon by the parties in writing. The number of Scientific FTEs for each year of the Program Term will be set forth in the applicable Research Plan; provided that such number shall be not less than [***] Scientific FTEs in any one year period. (b) Research funding payments shall be made in advance in four quarterly payments during each year of the Program Term (i.e., on or before April 1, July 1, October 1 and January 1 of each year for use in the next quarter). An initial payment will be made within 15 days of the Effective Date, pro-rated to cover the remainder of such calendar quarter. The last payment for the Research Program shall be pro-rated to the end of the Program Term. (c) If the Research Program is terminated by JT pursuant to Section 2.6, JT shall continue to provide Gene Logic with financial support for the terminated Research Program for the number of Scientific FTEs provided in the then applicable Research Plan as otherwise provided in this Section 7.2 until the effective date of the termination following the notice period as provided in Section 2.6; provided, however, that unless JT has exercised its option to commence another Research Program in addition to the Research Program to be terminated, such financial support shall be at [***] of the rate otherwise provided in this Section 7.2 and such support shall be discontinued at the earlier of (i) the Effective Date of another Research Program in addition to the terminated Research Program or (ii) the effective date of the termination of the Research Program following the notice period as provided in Section 2.6. (d) Gene Logic shall issue signed invoices in advance for each payment due hereunder.

Research Support. (a) During the Program Research Term, JT CURIS shall provide Gene Logic AEGERA with financial support for the Research Program for Gene LogicAEGERA 's Scientific FTEs (as documented to the reasonable satisfaction of JTCURIS) at a an initial rate of $[***] per Scientific FTE. The FTE payment rate payable pursuant to this Section 7.2(a): (i) shall be adjusted annually in proportion to the percentage increase or decrease in the U.S. Consumer Price Index, unless otherwise agreed upon by the parties Parties in writing; or (ii) shall be adjusted as agreed upon by the Parties in writing as required to fulfill the obligations of the Research Plan. The number of AEGERA's Scientific FTEs for each year of the Program Research Term will be set forth in the applicable Research Plan; provided that such total number shall be not less than [***] Scientific FTEs in any one year period. (b) Research funding payments shall be made in advance to AEGERA in four quarterly payments during each year of the Program Research Term (i.e., on or before April 1, July 1, October 1 and January 1 of each year for use in the next quarter). An initial payment will be made to AEGERA within 15 90 days of the Effective Date, pro-rated to cover the remainder of such calendar quarter. The last payment to AEGERA for the Research Program shall be pro-rated to the end of the Program Research Term. (c) If the Research Program Term is terminated by JT CURIS pursuant to Section 2.6this Agreement, JT CURIS shall continue to provide Gene Logic AEGERA with financial support for the terminated Research Program for the number of AEGERA Scientific FTEs provided in the then applicable Research Plan as otherwise provided in this Section 7.2 until the effective date of the termination following the notice period as provided in Section 2.6; provided, however, that unless JT has exercised its option to commence another Research Program in addition to the Research Program to be terminated, such financial support shall be at [***] of the rate otherwise provided in this Section 7.2 and such support shall be discontinued at the earlier of (i) the Effective Date of another Research Program in addition to the terminated Research Program or (ii) the effective date of the termination of the Research Program following the notice period as provided in Section 2.610.3. (d) Gene Logic Funding provided by CURIS shall issue signed invoices only be used to support the Research Program unless agreed to in advance for each payment due hereunderwriting by the Parties.

Research Support. (a) During the Program Research Term, JT AgrEvo shall provide Gene Logic with financial support for the Research Program for Gene Logic's Scientific FTEs (as documented to the reasonable satisfaction of JT) at a rate of [***[ * * * ] per Scientific FTE. The FTE payment rate payable pursuant to this Section 7.2(a7.4(a) shall be reevaluated annually on each anniversary of the Effective Date and adjusted annually in proportion to the percentage increase or decrease in the U.S. Consumer Price Index, unless otherwise agreed reflect cost-of-living increases based upon by the parties in writinga mutually acceptable indicator. The number of Scientific FTEs for each year of the Program Research Term will be set forth in the applicable Research Plan; provided that such number shall not be not less than [***[ * * * ] Scientific FTEs in any one one-year period; provided further that, if Alternative C is elected under Section 2.6(b)(iii), such number shall not be less than [ * * * ] Scientific FTEs in any one-year period during the term of the Exclusive Extension. (b) Research funding payments shall be made in advance in four quarterly payments installments during each year of the Program Research Term (i.e., on or before April 1, July 1, October 1 and January 1 of each year for use in the next quarter). An initial payment installment will be made within 15 days of the Effective Date, pro-rated to cover the remainder of such calendar quarter. The last payment such installment for the Research Program shall be pro-rated to the end of the Program Research Term. (c) If the Research Program is terminated by JT AgrEvo pursuant to Section 2.62.6(a), JT AgrEvo shall continue to provide pay Gene Logic with financial support for the terminated Research Program for the number of Scientific FTEs applicable research funding installment payments provided in the then applicable Research Plan as otherwise provided in this Section 7.2 7.4 until the effective date of the termination following the notice period as provided in Section 2.6; provided, however, that unless JT has exercised its option to commence another Research Program in addition to the Research Program to be terminated, such financial support shall be at [***] of the rate otherwise provided in this Section 7.2 and such support shall be discontinued at the earlier of (i) the Effective Date of another Research Program in addition to the terminated Research Program or (ii) the effective date of the termination of the Research Program following the notice period as provided in Section 2.6termination.
