Research Program Costs. Except as otherwise set forth in Section 2.7.3 or Section 5.3, each Party shall bear its own costs in connection with performing Research Program activities. Notwithstanding the foregoing, in the event that Ablynx is required to incur an out-of-pocket expense for a given line item (which will be used solely and exclusively in connection with activities under the Research Program) that exceeds […***…] in order to perform its activities under a Research Program and such expense has not been otherwise provided for in the Work Plan, then Ablynx shall have the right, prior to purchasing such consumable, to submit a written notice to Merck requesting reimbursement of such expense (which notice shall describe the consumables and the expenses to be incurred) and Merck shall reasonably […***…]; provided, however, that the foregoing shall not relieve Ablynx of any obligation to perform its activities under the Research Program as set forth herein, including in the Work Plan, except for those activities which are directly dependent upon the Parties reaching agreement (such agreement not to be unreasonably withheld) on the costs of such consumables as expressly set forth in this Section 2.11 until such time as such agreement is reached.
Research Program Costs. Except as otherwise set forth in Section 5.2, each Party shall bear its own costs in connection with performing Research Program activities.
Research Program Costs. Within five (5) days of the Effective Date, Ambrx will pay to Institute an amount equal to [***] as payment in advance for Institute’s activities pursuant to Approved Research Plans in the first partial calendar quarter following the Effective Date. Thereafter during the Research Program Term, Ambrx will make quarterly payments in advance to Institute of [***] ([***]) on or before each October 1, January 1, April 1 and July 1 that occurs during the Research Program Term in consideration of Institute’s activities pursuant to Approved Research Plans (each a “Research Funding Payment”); provided, however, the last payment made pursuant to this Section 7.1 shall be pro-rated to take into account the number of days in the last partial calendar quarter included in the Research Program Term.
Research Program Costs. Ambrx will bear its own costs, including costs related to routine laboratory supplies and applicable overhead costs, in performing its obligations under the Research Program, provided that, subject to the terms and conditions of this Agreement (including this Section 3.4(c)), BMS will make a payment to Ambrx for the BMS-funded Ambrx FTEs and Third Party Costs specified in the Budget, as may be amended in accordance with Section 3.3 and this Section 3.4 (such FTE and Third Party Costs being the “Research Program Costs”). The number of BMS-funded Ambrx FTEs shall be established in accordance with Section 3.4(a) and (b), and BMS shall fund such Ambrx FTEs at the applicable FTE Rate (as specified in Section 3.4(b)) in accordance with the Budget. Such FTE payment obligation of BMS will be subject to Ambrx providing such qualified FTE scientists. Ambrx shall send BMS (to BMS’ Financial Representative or otherwise as specified in writing by BMS) an invoice for the BMS-funded Ambrx FTEs for a given Calendar Quarter within forty-five (45) days following the end of such Calendar Quarter. Subject to this Section 3.4(c), such invoice for such BMS-funded Ambrx FTEs reimbursable by BMS shall be payable within forty-five (45) days after BMS receives such invoice. No later than thirty (30) days following the end of each Calendar Quarter, Ambrx will provide BMS with a report of the number of FTEs assigned to the Research Program with a summary of their activities for such Calendar Quarter. Ambrx shall invoice BMS for the Third Party Costs approved within the Budget and incurred by Ambrx for a given Calendar Quarter within forty-five (45) days following the end of such Calendar Quarter (such invoice to be sent to BMS’ Financial Representative or otherwise as specified in writing by BMS). Such invoice for such Third Party Costs reimbursable by BMS shall be payable within forty-five (45) days after BMS receives such invoice. ***Certain information on this page has been omitted and filed separately with the Commission. Research Program Costs. Funds of up to $6,500 per annum may be used for Research Program costs. Funds may be usesd for equipment and consumable materials, where such items are necessary for the Research Program. The Recipient will require the Fellowship Awardee to justify to their Fellowship Supervisor the necessity for such funds. No further credit for these items will be available from Healthway. The purchase of computer equipment will not be funded by Healthway without prior written approval by Healthway;
Research Program Costs. The “Research Program Costs” are the total expenditures authorized under Approved Research Programs for a Program Year pursuant to Sections 5 and 6.
Research Program Costs. The JSC will select patent counsel to provide an analysis and legal opinion regarding possible infringement of Third Party patents by the use of proposed Joint Targets, with such costs to be shared equally between the Parties. Each Party will be responsible for the expense for any independent analysis on the Joint Targets, or the 3DP Target or the Athersys Target, that it may choose to obtain.

During the Research Program Term and for a period of three calendar years thereafter, Cidara and its Affiliates shall keep complete and accurate records pertaining to Research Program Costs incurred by them in sufficient detail to permit Xxxxxxx to confirm the calculation of Research Program Costs and the accuracy of Cidara’s invoices delivered to Xxxxxxx pursuant to Section 6.2. Xxxxxxx shall have the right, once annually and during normal business hours and on no less than [***] prior written notice, to cause an independent, certified public accountant that is an internationally recognized expert in the field of audit with offices in the Major Markets and reasonably acceptable to Cidara to audit such records to confirm the calculation of such Research Program Costs and the accuracy of Cidara’s invoices therefor for a period covering not more than the preceding three calendar years. The records for a given calendar year shall be subject to audit no more than one time.
