Common use of Required Authorizations Clause in Contracts

Required Authorizations. There is no requirement to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Entity as a condition to or in connection with the execution and delivery by the Vendors of this Agreement or the completion by the Vendors or the Target Corporations of the transactions contemplated by this Agreement, except for the filings, notifications and Authorizations described in Section 4.1(e) of the Vendor Disclosure Letter.

Required Authorizations. There is no requirement for the Acquired Entities to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Entity Authority as a result of, or in connection with, or as a condition to or in connection with the execution and delivery by lawful completion of, the Vendors of this Agreement or the completion by the Vendors or the Target Corporations of the transactions contemplated by this Agreement, Transactions except for the filings, notifications and Authorizations listed and described in Section 4.1(e) 4.4 of the Vendor Sellers’ Disclosure Letter.

Required Authorizations. There is no requirement for the Vendors or the Corporation or any of its Subsidiaries to obtain any Authorization from, make any filing with, or give any notice to, or obtain any Authorization of, any Governmental Entity Authority in connection with, or as a condition to or in connection with to, the execution and delivery by the Vendors lawful completion of this Agreement or the completion by the Vendors or the Target Corporations any of the transactions contemplated by this Agreement, except for the filingsAuthorizations, notifications filings and Authorizations described notices set out in Section 4.1(e) 3.6 of the Vendor Disclosure Letter.

Required Authorizations. There is no requirement for any of the Vendors to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Entity Authority as a condition to or in connection with the execution and delivery by the Vendors of this Agreement or the lawful completion by the Vendors or the Target Corporations of the transactions contemplated by this Agreement, except for (i) in connection with the filingsRegulatory Approvals, notifications and Authorizations described in Section 4.1(e(ii) the filing with the Securities Regulatory Authorities and the mailing to the Unitholders of the Vendor Disclosure LetterCircular.

There is no requirement of the Vendors or the Corporation to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Entity as a condition to or in connection with the execution and delivery by the Vendors of this Agreement or the lawful completion by the Vendors or the Target Corporations of the transactions contemplated by this Agreement, except for the filings, notifications and Authorizations described in Section 4.1(eSchedule 3.1(c) or that relate solely to the identity of the Vendor Disclosure Letter.Purchaser or the nature of the business carried on by the Purchaser;

There is no requirement for the Seller or the Corporation to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Entity Authority as a result of, or in connection with, or as a condition to or in connection with the execution and delivery by the Vendors of this Agreement or the lawful completion by the Vendors or the Target Corporations of of, the transactions contemplated by this AgreementAgreement or any of the Acquisition Agreements, except for the filings, notifications and Authorizations described set out in Section 4.1(e) 3.5 of the Vendor Seller Disclosure Letter.

Required Authorizations. There is no requirement to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Entity as a condition to or in connection with the execution and delivery by the Vendors of this Agreement or the lawful completion by the Vendors or the Target Corporations of the transactions contemplated by this Agreement, except for the filings, notifications and Authorizations described in Section 4.1(e3.1(d) of the Vendor Disclosure LetterLetter or that relate solely to the identity of the Purchaser or the nature of the business carried on by the Purchaser prior to Closing.
