Common use of Request for Increase Clause in Contracts

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,000200,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Revolving Lenders), the Borrower Company, on behalf of itself and the other Borrowers, may from time to time, request an increase in the Aggregate Commitments Revolving Facility by an amount (for all such requests) not exceeding $250,000,000300,000,000 (an “Incremental Facility”); provided that (i) any such request for an increase Incremental Facility shall be in a minimum amount of $25,000,000, 5,000,000 and (ii) the Borrower may make a maximum of three (3) such requests. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Revolving Lender is requested to respond (which shall in no event be less than ten (10) Business Days from the date of delivery of such notice to the Revolving Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower Company may from time to time, request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,0001,000,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,00010,000,000 or a whole multiple of $1,000,000 in excess thereof, and (ii) the Borrower Company may make a maximum of three such requests. At the time of sending such notice, the Borrower Company (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Revolving Lenders), the Borrower Borrowing Agent may from time to time, request an increase in the Aggregate Revolving Commitments by an amount (for all such requests) not exceeding $250,000,000150,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests. At the time of sending such notice, the Borrower Borrowing Agent (in consultation with the Administrative Agent) shall specify the time period within which each Revolving Lender is requested to respond (which shall in no event be less than ten Business Days thirty (30) days from the date of delivery of such notice to the Revolving Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments (which increase may take the form of one or more new revolving loan tranches) by an amount (for all such requests) not exceeding $250,000,000150,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,00010,000,000, and (ii) the Borrower may make a maximum of three such requestsrequests (excluding any such requests that are not consummated). At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there exists no DefaultDefault has occurred and is continuing, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding ONE HUNDRED MILLION DOLLARS ($250,000,000100,000,000); provided that (i) any such request for an increase shall be in a minimum amount of TWENTY FIVE MILLION DOLLARS ($25,000,000, and (ii) the Borrower may make a maximum of three such requests). At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there no Default or Event of Default then exists no Defaultor would arise therefrom, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Lead Borrower may from time to time, time request an increase in the Aggregate Revolving Loan Commitments by an amount (for all such requests) not exceeding $250,000,00050,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,00015,000,000, and (ii) the Lead Borrower may make a maximum of three such requests. At the time of sending such notice, the Lead Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Revolving Loan Lender is requested to respond (which shall in no event be less than ten (10) Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten (10) Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there no Default then exists no Defaultor would arise therefrom, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, time request an increase in the Aggregate Revolving Credit Commitments by an amount (for all such requests) not exceeding $250,000,00025,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,0005,000,000, and (ii) the Borrower may make a maximum of three such requests. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, time request an increase in the Aggregate Commitments (which increase may take the form of additional Commitments or one or more additional term loan tranches) by an amount (for all such requests) not exceeding $250,000,000300,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten (10) Business Days from the date of delivery of such notice to the Lenders).

Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may after the Closing Date from time to time, request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,000300,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,00010,000,000, and (ii) the Borrower may make a maximum in whole multiples of three such requests$5,000,000 in excess thereof. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten five Business Days from the date of delivery of such notice to the Lenders).

Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower Agent may from time to time, request an increase in the Aggregate Commitments by to an amount (for including all such requests) not exceeding $250,000,000750,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, and (ii) the Borrower Agent may make a maximum of three such requestsrequests in any year. At the time of sending such notice, the Borrower Agent (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Provided there exists no Event of Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,000325,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, 25,000,000 and (ii) the Borrower may make a maximum of three two such requestsrequests per fiscal year. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the LendersLenders (or such shorter time as determined in the sole discretion of the Administrative Agent)).

Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,000150,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,00025,000,000 and in increments of $10,000,000 in excess thereof, and (ii) the Borrower may make a maximum of three such requestsrequests and (iii) no such increase shall increase the Letter of Credit Sublimit. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, request an increase increases in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,000Commitments; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, 25,000,000 and (ii) no such increase shall be permitted if after giving effect thereto the Borrower may make a maximum of three such requestsAggregate Commitments would exceed $650,000,000. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there exists no Default, upon Upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower Borrowers may from time to time, time prior to the Maturity Date request an increase increases in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,000; Commitments, provided that following any such increase, the Aggregate Commitments do not exceed $75,000,000; and provided further that (ix) any such request for an increase shall be in a minimum amount of $25,000,000, 5,000,000 and (iiy) the Borrower may make a maximum total number of such requests for an increase shall not exceed three such requests(3). At the time of sending delivery of such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Revolver Lender is requested to respond (which shall in no event be less than ten 10 Business Days from the date of delivery of such notice to the Revolver Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Joint Administrative Agent (which shall promptly notify the Revolving Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments by an amount Revolving Facility (for all such requests) not exceeding $250,000,000100,000,000 (an “Incremental Facility”); provided that (i) any such request for an increase Incremental Facility shall be in a minimum amount of $25,000,00010,000,000 plus additional increments in the amount of $5,000,000, and (ii) the Borrower may make a maximum of three (3) such requests. At the time of sending such notice, the Borrower (in consultation with the Joint Administrative Agent) shall specify the time period within which each Revolving Lender is requested to respond (which shall in no event be less than ten (10) Business Days from the date of delivery of such notice to the Revolving Lenders).. 

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower Company may from time to timetime at the Company’s sole cost and expense, request an increase in the Aggregate Core Currency Commitments by an amount (for all such requests) not exceeding $250,000,000500,000,000 in the aggregate; provided that (i) any such request for an NYDOCS02/1167307 61 increase shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests5,000,000. At the time of sending such notice, the Borrower Company (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,000100,000,000 (with Aggregate Commitments not exceeding $900,000,000); provided that (i) any such request for an increase shall be in a minimum amount of $25,000,00010,000,000, and (ii) the Borrower may make a maximum in whole multiples of three such requests$5,000,000 in excess thereof. Provided there no Default then exists no Defaultor would arise therefrom, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Lead Borrower may from time to time, time request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,00020,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, 5,000,000 and (ii) the Lead Borrower may make a maximum of three such requests. At the time of sending such notice, the Lead Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Revolving Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments Revolving Facility by an amount (for all such requests) not exceeding $250,000,000500,000,000 (an “Incremental Facility”); provided that (i) any such request for an increase Incremental Facility shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, time request an increase in the Aggregate Commitments Facility by an amount (for all such requests) not exceeding to exceed $250,000,000200,000,000 more than the aggregate principal amount of the Facility on the Closing Date, subject to approval by the Administrative Agent; provided provided, that (i) any such request for an increase shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower Company may from time to timetime at the Company’s sole cost and expense, request an increase in the Aggregate Core Currency Commitments by an amount (for all such requests) not exceeding $250,000,0001,100,000,000 in the aggregate under this Agreement and the Four Year Credit Agreement; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests5,000,000. At the time of sending such notice, the Borrower Company (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

Request for Increase. Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to timetime after the First Amendment Effective Date, request an increase in the Aggregate Commitments Facility by an amount (for all such requests) not exceeding $250,000,00025,000,000 (an “Incremental Facility”); provided that (i) any such request for an increase Incremental Facility shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests5,000,000.
