Representations, Warranties and Covenants of the Company and the Seller. (a) The Company hereby represents and warrants to the Master Servicer, the Depositor, the Securities Administrator and the Trustee as follows, as of the Closing Date:

(a) Each of the representations and warranties of the Company and the Seller made in this Agreement shall be true and correct in all material respects (or, if any specific representation or warranty of the Company or the Seller is expressly qualified by concepts of “knowledge,” “materiality” or “Material Adverse Effect,” then such representations and warranties shall be true and correct in all respects) as of the date of this Agreement and as of the Closing (as if made anew at and as of the Closing); (b) the Seller shall, and shall have caused the Company to, have performed and complied in all material respects (except for those covenants set forth in Section 2.1.1 which shall have been performed in all respects) with all terms, agreements and covenants contained in this Agreement required to be performed or complied with by the Seller or the Company on or before the Closing Date; and (c) the Seller shall have delivered to the Purchaser a certificate, dated the Closing Date, confirming the satisfaction of the conditions contained in Sections 8.1.1 (Representations, Warranties and Covenants of the Company and the Seller), 8.1.3 (No Injunction, Etc.), 8.1.4 (No Proceedings), 8.1.5 (Required Filings), 8.1.8 (Third Party Consents; Governmental Approvals), 8.1.9 (No Material Adverse Effect), 8.1.12 (Release of Liens) and such other evidence of compliance with their obligations as the Purchaser may reasonably request.
