Representations, Warranties and Covenants of Sellers; No Material Adverse Effect. All of the representations and warranties made by Sellers or the Company in this Agreement (considered collectively) and each of these representations and warranties (considered individually) must have been true and correct in all material respects as of the date of this Agreement and must be accurate in all material respects as of the Closing Date, as if made on the Closing Date (except where a specific date is provided in the representation and warranty) without giving any effect to any supplement to the Disclosure Schedule. Each of the Sellers’ representations and warranties in Sections 4.6, 4.17 and 4.29 must have been accurate in all respects as of the Closing Date as if made on the Closing Date without giving effect to any supplement to the Disclosure Schedule. Sellers and the Company shall have performed and complied with all agreements and covenants required by this Agreement to be performed by them on or prior to the Closing Date. No Material Adverse Effect shall have occurred since the date of this Agreement.
