Common use of Representations, Performance Clause in Contracts

Representations, Performance. The representations and warranties of the Purchasers contained in this Agreement and in any certificate or other writing delivered pursuant hereto shall be true and correct in all respects at and as of the date hereof and at and as of the Closing Date with the same effect as though made at and as of the Closing Date. The Purchasers shall have in all material respects duly performed and complied with all agreements, covenants and conditions required by this Agreement to be performed or complied with by the Purchasers at or prior to the Closing.

Representations, Performance. The representations and warranties of the Purchasers Purchaser contained in this Agreement and in any certificate or other writing delivered pursuant hereto (i) shall be true and correct in all material respects at and as of the date hereof and at (ii) shall be repeated and shall be true and correct in all material respects on and as of the Closing Date with the same effect as though made at and as of the Closing Date. The Purchasers Purchaser shall have duly performed and complied in all material respects duly performed and complied with all agreements, covenants agreements and conditions required by this Agreement to be performed or complied with by the Purchasers at or Purchaser prior to or on the ClosingClosing Date.

The Purchasers Buyer shall have in all material respects duly performed and complied with all agreements, covenants and conditions required by this Agreement to be performed or complied with by the Purchasers Buyer at or prior to the Closing. Buyer shall have delivered to Seller a certificate, dated as of the Closing Date, signed by a duly authorized officer of Buyer to the effect set forth above in this Section 5.3(a).

The Purchasers Purchaser shall have duly performed and complied in all material respects duly performed and complied with all agreements, covenants agreements and conditions required by this Agreement to be performed or complied with by the Purchasers at or it prior to or on the ClosingClosing Date. The Purchaser shall have delivered to the Seller a certificate, dated as of the Closing Date and signed by a duly authorized officer, to the foregoing effect.
