GUARANTORS") ON A JOINT AND SEVERAL BASIS REGARDING OPCO In order to induce the Purchaser to enter into this Agreement, the Vendor and the Guarantors, on a joint and several basis, represent and warrant to Purchaser the matters set forth below, which shall be true on the date of execution hereof and on the Closing Date. Disclosure of any information in one schedule shall be deemed to be disclosed in other schedules to the extent that such disclosure is consistent in subject matter and the context of such other schedule.
