Common use of Representations and Warranties of the Sellers, Master Servicer and Servicers Clause in Contracts

Representations and Warranties of the Sellers, Master Servicer and Servicers. (a) Each of DLJMC, in its capacity as a Seller, CMMC, in its capacity as Master Servicer, GreenPoint, in its capacity as a Seller and a Servicer, Olympus, in its capacity as a Servicer and Special Servicer, and WMMSC, in its capacity as a Servicer, hereby makes the representations and warranties applicable to it set forth in Schedule IIA, IIB, IIC, IID or IIE, as applicable hereto, and by this reference incorporated herein, to the Depositor, the Trustee and the Trust Administrator, as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified. In addition, Greenpoint, in its capacity as a Servicer, Olympus, in its capacity as a Servicer, and WMMSC, in its capacity as a Servicer, hereby make the representations and warranties applicable to it set forth in Schedule IIC, IID and IIE, respectively, as applicable hereto, and by this reference incorporated herein, to the Master Servicer, as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified, and the Master Servicer, in its capacity as Master Servicer, hereby makes the representations and warranties applicable to it set forth in Schedule IIB, and by this reference incorporated herein, to WMMSC as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified.

Representations and Warranties of the Sellers, Master Servicer and Servicers. In addition, GreenpointGreenPoint, SPS, Xxxxx Fargo and Bank of America, in its capacity their respective capacities as a Servicer, Olympus, in its capacity as a Servicer, and WMMSC, in its capacity as a ServicerServicers, hereby make makes the representations and warranties applicable to it set forth in Schedule IICIID, IID and IIE, respectively, as applicable IIF and IIG hereto, and by this reference incorporated herein, to the Master Servicer, as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified, and the Master Servicer, in its capacity as Master Servicer, hereby makes the representations and warranties applicable to it set forth in Schedule IIB, and by this reference incorporated herein, to WMMSC as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified.

In addition, GreenpointGreenPoint, SPS and Xxxxx Fargo, in its capacity their respective capacities as a Servicer, Olympus, in its capacity as a Servicer, and WMMSC, in its capacity as a ServicerServicers, hereby make makes the representations and warranties applicable to it set forth in Schedule IICIID, IID IIE and IIE, respectively, as applicable IIF hereto, and by this reference incorporated herein, to the Master Servicer, as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified, and the Master Servicer, in its capacity as Master Servicer, hereby makes the representations and warranties applicable to it set forth in Schedule IIB, and by this reference incorporated herein, to WMMSC as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified.

(a) Each of DLJMC, in its capacity as a Seller, CMMCXxxxx Fargo, in its capacity as Master Servicer, SPS, in its capacity as Servicer, Special Servicer and Modification Oversight Agent, Xxxxx Fargo, in its capacity as Servicer, GreenPoint, in its capacity as a Seller and a Servicer, Olympus, in its capacity as a Servicer and Special Servicer, and WMMSC, in its capacity as a Servicer, Bank of America, in its capacity as Servicer, and UMS, in its capacity as Servicer, in each case hereby makes the representations and warranties applicable to it set forth in Schedule Schedules IIA, IIB, IIC, IID or IID, IIE, as applicable IIF, IIG and IIH hereto, respectively, and by this reference incorporated herein, to the Depositor, the Trustee and the Trust Administrator, as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified. In addition, GreenpointSPS, in its capacity as a Servicer, OlympusSpecial Servicer and Modification Oversight Agent, GreenPoint, in its capacity as a Servicer, and WMMSCXxxxx Fargo, in its capacity as a Servicer, hereby make Bank of America, in its capacity as Servicer, and UMS, in its capacity as Servicer, makes the representations and warranties applicable to it set forth in Schedule Schedules IIC, IID and IID, IIE, IIG and IIH hereto, respectively, as applicable hereto, and by this reference incorporated herein, to the Master Servicer, as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified, and the Master Servicer, in its capacity as Master Servicer, hereby makes the representations and warranties applicable to it set forth in Schedule IIB, and by this reference incorporated herein, to WMMSC Servicer as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified.
