Representations and Warranties of the Seller and the Principal Stockholder. The representations and warranties of the Seller and the Principal Stockholder contained in this Agreement and in any certificate or other writing delivered by the Seller pursuant hereto shall be true at and as of the Closing Date as if made at and as of such time, except for such inaccuracies that do not have a Material Adverse Effect; provided, however, that those representations and warranties which are qualified by references to "material", "Material Adverse Effect" or "to the knowledge of the Seller" shall be deemed not to include such qualifications.
