Representations and Warranties of the Seller and the Principal Shareholders. All representations and warranties made by the Seller and the Principal Shareholders in this Agreement shall be true and correct in all material respects (except as to representations and warranties which are qualified as to materiality, which representations and warranties shall be true and correct in all respects) on and as of the Closing Date as if again made by the Seller and the Principal Shareholders on and as of such date, and the Purchaser and Xxxxxx shall have received a certificate dated the Closing Date and signed by the secretary of the Seller to that effect.
