REPRESENTATIONS AND WARRANTIES OF THE PRINCIPAL COMPANIES. In order to induce the Lenders and the Agent to enter into this Agreement, each of the Principal Companies represents and warrants to each Lender and the Agent, in each case after giving effect to the consummation of the closing (i) of the Restructuring and (ii) of the Consent and Seventeenth Amendment to the Working Capital Facility, (other than where a representation and warranty makes specific reference to it being made prior to the closing of the Restructuring or the Consent and Seventeenth Amendment to the Working Capital Facility), that:
