REPRESENTATIONS AND WARRANTIES OF SAVVIS PARENT AND THE SELLERS. SAVVIS Parent and the Sellers hereby jointly and severally represent and warrant to the Buyer as follows:
REPRESENTATIONS AND WARRANTIES OF SAVVIS PARENT AND THE SELLERS. All of the representations and warranties made by SAVVIS Parent and the Sellers in this Agreement (other than those set forth in Sections 5.15(a), (b), (c) and (d)) that are qualified as to materiality or Material Adverse Effect shall be true and correct, and all representations and warranties of SAVVIS Parent and the Sellers (other than those set forth in Sections 5.15(a), (b), (c) and (d)) that are not so qualified shall be true and correct in all material respects, in each case as of the date hereof and (except to the extent such representations and warranties refer to a specific date) as of the Closing Date as if made by SAVVIS Parent and the Sellers on and as of the Closing Date, with only such exceptions in each case as would not, individually or in the aggregate, have a Material Adverse Effect. All of the representations and warranties made by SAVVIS Parent and the Sellers in Sections 5.15(a), (b), (c) and (d) shall be true and correct in all material respects, in each case as of the date hereof and (except to the extent such representations and warranties refer to a specific date) as of the Closing Date as if made by SAVVIS Parent and the Sellers on and as of the Closing Date.
