REPRESENTATIONS AND WARRANTIES OF Quest AND SUB. Except as disclosed in the Quest disclosure schedule attached hereto (the "Quest Disclosure Schedule") or the Quest SEC Documents (as defined in Section 4.6), Quest and Sub, jointly and severally, represent and warrant to MBR and the Shareholders as set forth below. The MBR Disclosure Schedule shall be arranged in sections corresponding to the specific numbered and lettered Section contained in this Agreement and shall not be deemed to cross-reference any other numbered or lettered Section unless an expressed reference is made to that effect.
