Common use of REPRESENTATIONS AND WARRANTIES OF PURCHASER Clause in Contracts

REPRESENTATIONS AND WARRANTIES OF PURCHASER. Purchaser makes the following representations and warranties, on which Seller relies in selling, assigning, transferring and conveying the Receivables and the Other Conveyed Property to Purchaser hereunder. Such representations are made as of the execution and delivery of this Agreement, but shall survive the sale, transfer and assignment of the Receivables and the Other Conveyed Property hereunder and the sale, transfer and assignment thereof by Purchaser to the Issuer under the Sale and Servicing Agreement.

REPRESENTATIONS AND WARRANTIES OF PURCHASER. Purchaser hereby makes the following representations and warranties, on warranties upon which Seller relies in selling, assigning, transferring and conveying the Receivables and the Other Conveyed Property to Purchaser hereundermay rely. Such representations are made as of the execution and delivery of this Agreement, but shall survive the sale, transfer and assignment of the Receivables and to Purchaser, the Other Conveyed Property hereunder and the sale, transfer and assignment thereof sale by Purchaser to the Issuer under and the Sale and Servicing Agreementpledge by the Issuer to the Indenture Trustee.

Purchaser makes represents, warrants and covenants the following representations to Seller, and warrantiesany successor or assignee of Seller, with the knowledge that Seller is relying on which Seller relies such representations, warranties and covenants in selling, assigning, transferring and conveying the Receivables and the Other Conveyed Property to Purchaser hereunder. Such representations are made as of the execution and delivery of entering into this Agreement, but shall survive the sale, transfer and assignment of the Receivables and the Other Conveyed Property hereunder and the sale, transfer and assignment thereof by Purchaser to the Issuer under the Sale and Servicing Agreement.:

Purchaser makes the following representations and warranties, on which Seller Originator relies in selling, assigning, transferring and conveying the Receivables and the Other Conveyed Property to Purchaser hereunder. Such representations are made as of the execution and delivery of this Agreement, but shall survive the sale, transfer and assignment of the Receivables and the Other Conveyed Property hereunder and the sale, transfer and assignment thereof by Purchaser to the Issuer under the Sale and Servicing Agreement. The Purchaser is not organized under the laws of any other State.

REPRESENTATIONS AND WARRANTIES OF PURCHASER. Purchaser makes the following representations and warranties, on which Seller relies in selling, assigning, transferring and conveying the Receivables and the Other Conveyed Property Mortgage Loans to Purchaser hereunder. Such representations are made as of the execution and delivery of this Agreement, but shall survive the sale, transfer and assignment of the Receivables and the Other Conveyed Property Mortgage Loans hereunder and the sale, transfer and assignment thereof by Purchaser to the Issuer under the Sale and Servicing Agreement.
