Representations and Warranties of ISG and Buyer. ISG and Buyer hereby represent and warrant to Sellers as follows:
Representations and Warranties of ISG and Buyer. The representations and warranties of ISG and Buyer made in Section 4.2 of this Agreement, in each case, shall be true and correct as of the Execution Date and as of the Closing Date as though made by ISG and Buyer again as of the Closing Date, except to the extent (i) such representations and warranties expressly relate to an earlier date, in which case such representations and warranties shall be true and correct on and as of such earlier date, and (ii) any inaccuracies in such representations and warranties would not, individually or in the aggregate, reasonably be expected to result in an ISG Material Adverse Effect.
