REPRESENTATIONS AND WARRANTIES OF ILLINOIS POWER. Illinois Power makes the following representations and warranties, as of the Closing Date, on which the Grantee has relied in selling the 1998 Transition Property to the Note Issuer. These representations and warranties shall survive (i) the grant of the 1998 Transition Property to the Grantee pursuant to the 1998 Funding Order and the 1998 Initial Tariff, (ii) to the extent that Illinois Power has any interest in the 1998 Transition Property or any part thereof, the sale, transfer, assignment, set over and conveyance by Illinois Power contemplated hereby, (iii) the sale, transfer, assignment, set over and conveyance of the 1998 Transition Property and Related Assets to the Note Issuer and (iv) the pledge thereof to the Indenture Trustee pursuant to the Indenture and (v) the issuance of the Notes.
