REPRESENTATIONS AND WARRANTIES OF EACH TARGET. Subject to the exceptions set forth in a numbered or lettered section of the disclosure letter addressed to Buyer, dated as of the Agreement Date and delivered to Buyer concurrently with the parties’ execution of this Agreement (the “Seller Disclosure Letter”) referencing a representation or warranty herein (each of which exceptions, in order to be effective, shall clearly indicate the section and, if applicable, the subsection of this Article 3 or Article 4 to which it relates (provided that each disclosed exception shall be effective in each other section or subsection of this Article 3 or Article 4 to the extent the relevance to other representations and warranties is reasonably apparent from the face of the disclosed exception)), each of the Targets, severally as to itself and not jointly and severally, hereby represent and warrant to Buyer as of the date of this Agreement and as of the Closing as follows:
