REPRESENTATIONS AND WARRANTIES OF CARAVELLE. Except as disclosed in a schedule referring specifically to the applicable representations and warranties in this Agreement, which is delivered by Caravelle to Avesta and Avesta Technologies Canada prior to the execution of this Agreement and which is annexed hereto as SCHEDULE 2, and an update of such schedule which is delivered in connection with the Closing (the "CARAVELLE DISCLOSURE SCHEDULE"), Caravelle agrees with, and represents and warrants to, Avesta and Avesta Technologies Canada as set forth below:
