REPRESENTATIONS AND WARRANTIES OF BUYER AND ISC. The representations ----------------------------------------------- and warranties made by Buyer and ISC to Parent, Seller and NMT-US in Section 4 of this Agreement shall be true and correct in all material respects (except for such representations and warranties as are qualified by materiality or made to the best knowledge, which shall be true and correct) in as of the Closing Date with the same force and effect as though such representations and warranties had been made on and as of such date, except and solely to the extent such representations and warranties speak of a different date.
