Representations and Warranties by the Employee. The Employee represents and warrants to the Company that (a) the Employee has the legal capacity to execute and perform this Agreement, (b) this Agreement is a valid and binding agreement enforceable against the Employee according to its terms, and (c) the Employee does not have any non-disclosure, non-solicitation, non-compete or other similar obligations to any other individual or entity (including, without limitation, any previous employer) that would conflict with, prohibit or inhibit the performance of the Employee’s duties under this Agreement.
