Representation regarding Super Voting Shares. As of the Closing Date, the provisions of the articles of incorporation of the Borrower described in the “Super Voting Shares” definition are the only provisions of any Governing Document of the Borrower that set forth and govern the terms of the Super Voting Shares. As of the Closing Date, the Holders of Super Voting Shares hold at least fifty percent (50.00%) of the Super Voting Shares issued and outstanding as of the Closing Date.
