Common use of Representation of Employee Clause in Contracts

Representation of Employee. Employee represents and warrants to Employer that Employee is free to enter into this Agreement and has no commitment, arrangement or understanding to or with any party which restrains or is in conflict with Employee's performance of the covenants, services and duties provided for in this Agreement. Employee shall not violate any obligation owed to any other party, including former employees, and shall not violate any rights that any third party has with regard to proprietary information or trade secrets. Employee agrees to indemnify Employer and to hold it harmless against any and all liabilities or claims arising out of breach of this representation and warranty.
